Scale is seeking a Lead Counsel, Commercial to support its Enterprise business unit. This role will focus on negotiating complex revenue deals with Fortune 500 enterprise companies that are developing agentic AI applications across various industries. You will join a creative and solutions-oriented team, collaborating internally and externally to drive deals and business forward. This is an individual contributor role with significant scope and visibility, responsible for managing deals end-to-end and shaping the company's commercial legal function. The ideal candidate is a pragmatic, action-oriented commercial attorney with a deep interest in AI and a collaborative, "roll-up-your-sleeves" attitude.
Responsibilities
- Draft, review, and negotiate master services agreements with Fortune 500 and other companies.
- Draft, review, and negotiate partnership, reseller, vendor, and data processing agreements.
- Partner with Go-To-Market teams to drive deals and business objectives.
- Provide practical legal counsel to sales, product, engineering, and marketing teams.
- Assess and advise on legal risks.
- Design, implement, and iterate on policies and processes to manage global legal and business risks.
Requirements
- J.D. from an accredited law school and admission to the New York State Bar.
- 5+ years of combined law firm and in-house experience with commercial agreements training.
- Experience partnering with Sales, guiding negotiation cycles, and closing revenue deals.
- Experience drafting and negotiating complex enterprise licensing, services, and data processing agreements.
- Ability to communicate clearly with business and technical audiences and translate legal concepts for non-lawyers.
- Collaborative and low-ego approach with a "roll-up-your-sleeves" attitude.
- Deep interest in artificial intelligence, machine learning technology, generative AI, and AI applications.
