Harvey is seeking a Corporate Counsel to play a critical role during a period of rapid growth. This position offers the opportunity to work on complex, high-impact corporate matters such as M&A, securities, and corporate governance, while also supporting the full spectrum of corporate legal needs. The ideal candidate will be adept at owning and driving work streams, establishing scalable legal processes, and collaborating cross-functionally to facilitate business expansion. This is a chance to contribute to a rapidly scaling company that is defining a new category in professional services.
Responsibilities
- Execute M&A and other strategic transactions, including due diligence, drafting and negotiating agreements, and managing post-closing integration.
- Support financing activities, stock transfers, equity administration, and corporate governance, including investor relations and board preparation.
- Assist with global expansion efforts, including entity formation, subsidiary maintenance, and compliance.
- Manage real estate transactions.
- Manage insurance matters.
- Design, implement, and improve scalable legal processes, templates, and playbooks for efficiency and best practices.
- Serve as a trusted business partner to stakeholders in Finance, People, and Operations.
Requirements
- JD degree and licensed to practice in California or New York.
- 3-6+ years of legal experience with a strong foundation in corporate law, including M&A, securities, equity matters, and corporate governance.
- Experience supporting fast-growing technology companies, preferably with at least one year in-house.
- Experience supporting global expansion and multinational corporate structures.
- Ability to thrive in a fast-paced environment, manage competing priorities, and think creatively under pressure.
- Team-focused and collaborative working style.
- Exceptional communication skills, with the ability to drive stakeholder alignment and provide solutions-oriented legal advice.
- Experience with employment matters and later-stage company governance is a plus.
