Sierra is building a platform to enable companies to create AI-powered customer experiences. We are seeking a Commercial Counsel to join our legal team and play a key role in structuring, negotiating, and advising on a variety of commercial contracts, including SaaS agreements, technology licenses, and vendor agreements. This role offers an opportunity to broaden your expertise into IP, regulatory, and product law within a dynamic, fast-paced startup environment. You will contribute to building a best-in-class commercial legal function, developing efficient processes, and advising on complex contractual issues, particularly those related to AI and evolving regulatory frameworks. We are looking for a collaborative team player with strong judgment, a proactive mindset, and a commitment to excellence.

Responsibilities

  • Structure, negotiate, and advise on commercial contracts (SaaS, licenses, services, channel partners, vendors, NDAs).
  • Advise on commercial privacy and security contracting (DPAs, BAAs, security agreements).
  • Develop and implement commercial function best practices, including templates, playbooks, and workflows.
  • Provide expertise in contract law, IP, and privacy, with a focus on AI-related legal nuances and regulatory frameworks.
  • Collaborate cross-functionally with Sales, Operations, and Agent Development teams to support business initiatives.
  • Manage contractual issues and make strategic decisions in a high-growth environment.

Requirements

  • 2-6 years of legal experience, with a mix of law firm and in-house tech company experience.
  • Strong background in negotiating and managing complex commercial contracts, preferably in SaaS, AI, or enterprise software.
  • Excellent communication skills, with the ability to partner with legal and non-legal stakeholders.
  • Proactive mindset and ability to navigate ambiguity in a fast-paced startup.
  • Experience with privacy/regulatory frameworks and data processing agreements.
  • Understanding of AI products, LLMs, and related legal issues.
  • Experience at a high-growth startup with a sense of ownership.
