Replit is seeking an experienced Commercial Counsel to join its legal team and partner with the enterprise sales organization. This role will drive complex commercial negotiations for sophisticated technology agreements with enterprise customers, playing a critical part in scaling commercial legal processes and navigating the evolving landscape of AI-powered development tools. The ideal candidate will help customers understand and navigate the legal and regulatory implications of adopting AI tools, ensuring confident deployment of Replit's platform.
Responsibilities
- Serve as the lead legal advisor for complex, high-value enterprise sales transactions, negotiating and closing software agreements.
- Help enterprise customers understand and navigate legal and regulatory implications of AI-powered development tools, addressing data privacy, security, and compliance.
- Design and implement contract playbooks, template agreements, and streamlined processes to enable sales team efficiency.
- Identify, analyze, and proactively manage commercial and legal risks in a fast-paced environment.
- Collaborate with Product, Engineering, Security, and Privacy teams to align commercial offerings with product capabilities and regulatory requirements.
- Provide strategic guidance to leadership on commercial legal matters, emerging AI regulations, and market trends.
- Foster strong relationships with enterprise customer legal teams, acting as a trusted advisor for platform adoption.
Requirements
- JD from an accredited law school and active membership in at least one U.S. state bar.
- 5-7 years of relevant legal experience supporting enterprise software sales and complex commercial transactions, preferably at high-growth technology companies.
- Strong background in SaaS agreements, software licensing, and technology transactions.
- Proven track record of successfully closing complex, multi-stakeholder deals in fast-paced environments.
- Exceptional business judgment and ability to provide practical, solutions-oriented legal advice.
- Outstanding written and verbal communication abilities, with experience presenting to C-level executives.
- Ability to thrive in ambiguous, rapidly evolving environments and build processes from the ground up.
- Collaborative mindset with a track record of building strong cross-functional relationships.
