LangChain is seeking a business-minded Commercial Counsel to support a broad range of commercial legal work across the company's go-to-market and business operations. This role involves drafting, reviewing, and negotiating various agreements, including customer, partner, and vendor contracts, to facilitate business growth while managing legal and operational risks. The position is highly cross-functional, requiring close collaboration with teams such as Sales, Partnerships, Finance, Security, Product, and Operations. Over time, the role may expand to include partner and alliance work, as well as developing scalable contracting processes and implementing legal tech solutions like Ironclad.
Responsibilities
- Draft, review, redline, and negotiate commercial agreements including customer, partner, vendor, NDAs, order forms, MSAs, DPAs, security addenda, and amendments.
- Provide practical, business-oriented legal guidance to Sales, Partnerships, Finance, Security, Product, Revenue Operations, and Operations teams.
- Efficiently review and negotiate commercial agreements, escalating issues as needed.
- Support enterprise sales deals, including SaaS, cloud, and technology agreements.
- Support partner and alliance-related agreements such as technology partnerships, referral arrangements, reseller relationships, integration partnerships, and strategic collaborations.
- Review and negotiate vendor agreements and help develop a scalable vendor review process.
- Facilitate efficient deal execution while balancing legal, business, security, financial, and operational risks.
- Advise on contractual issues related to data protection, privacy, security, intellectual property, AI/LLM usage, confidentiality, indemnities, limitation of liability, compliance, partner programs, integrations, and vendor risk.
- Assist in implementing and operationalizing Ironclad, including contract intake, approval routing, templates, clause libraries, playbooks, reporting, and process improvements.
- Contribute to the development and improvement of contract templates, negotiation guidelines, approval workflows, fallback positions, and scalable contracting processes.
- Identify negotiation patterns and recommend improvements to standard positions, processes, and risk frameworks.
- Serve as a trusted legal partner to business stakeholders, aiding in decision-making in ambiguous situations.
Requirements
- 5-8 years of experience drafting, reviewing, and negotiating commercial technology agreements.
- Ideally a mix of law firm and in-house experience.
- In-house experience at a SaaS, infrastructure, AI, cloud, developer tools, enterprise software, or high-growth technology company is strongly preferred.
- Experience with a broad mix of commercial agreements including customer, vendor, partner agreements, NDAs, MSAs, order forms, DPAs, security addenda, and amendments.
- Experience supporting partnerships, alliances, channel, reseller, marketplace, referral, integration, co-sell, or other ecosystem-driven commercial arrangements.
- Strong foundation in SaaS, cloud, or technology agreements.
