About the job

Anthropic is seeking a Senior Manager, M&A Finance Integration to manage the finance department's involvement in M&A transactions, from initial letters of intent through Day 1 readiness and post-closing activities. This role also involves overseeing the program management for Anthropic's expanding legal entity structure. You will be responsible for scoping and executing finance integration plans for each deal, coordinating with various teams like Corporate Development, Legal, and People, and acting as a liaison between deal teams and functional departments. Additionally, you will manage the entire lifecycle of legal entities, including setup, migration, and wind-down, and develop a playbook and template library based on lessons learned from each transaction.

Responsibilities

  • Scope and own the finance integration plan for each transaction across all phases, from LOI and due diligence through signing, sign-to-close, and Day 90.
  • Tailor integration plans based on the integration model (full integration vs. standalone subsidiary) and define baseline activities and specific deltas for each function.
  • Ensure engagement of all functions at the appropriate phase, with clear ownership, dependencies, and escalation paths.
  • Manage the integration operating rhythm, including workstream check-ins, issue logs, risk registers, RACI matrices, decision logs, and status reporting to finance leadership.
  • Negotiate deliverables and trade-offs with functional leads, escalating to the Director with recommendations when priorities conflict.
  • Drive Finance Day 1 readiness, including bank account control, payroll cutover, AP/AR continuity, ERP entity setup, chart-of-accounts mapping, and expense policy communication.
  • Manage the Day 1 checklist and 30/60/90-day follow-through to ensure smooth onboarding of acquired entities.
  • Coordinate closing spreadsheets, net working capital mechanics, and post-close true-ups with Corporate Development, Legal, and Technical Accounting.
  • Serve as the primary finance point of contact for the target's finance team and the Corporate Development integration lead during transitions.
  • Scope, track, and manage external advisor engagements and resolve arising issues.
  • Act as a credible counterpart to Corporate Development, finance functional leads, and target finance leadership on integration substance.
  • Communicate integration and entity status to leadership through dashboards and written briefings.
  • Mentor team members and contractors as the function grows.
  • Handle confidential deal information with discipline.
  • Build and manage the end-to-end entity setup process, including documentation, incorporation, tax registrations, banking, ERP entity creation, and payroll setup for US and international entities.
  • Own the entity wind-down process, including customer and vendor off-boarding, final payroll, account closure, and statutory filings, in partnership with Legal, Tax, and finance functions.
  • Design and maintain a single entity tracker with per-entity and per-workstream implications and status.
  • Build and own the Legal Entity Playbook for entity formation, migration, and wind-down.
  • Own and maintain sections of the M&A Finance Integration Playbook, including per-function deliverables, standard operating procedures, and template library.
  • Lead post-deal retrospectives and drive resulting changes into the playbook and templates.
  • Identify and implement tooling and automation, including AI-assisted solutions, for program work such as status synthesis, tracker updates, escalations, and draft communications.

Requirements

  • Demonstrated end-to-end ownership of at least two finance integration projects or entity setup projects, from planning through post-close execution.
  • Experience with project plan ownership and executive reporting.
  • Working accounting fluency across areas like the close calendar, chart of accounts, intercompany, statutory reporting, and purchase accounting.
